The high volatility in equity, oil, and other commodity markets makes this confidential pre-filing with SEBI an even more attractive option.<\/h5>\n\n\n\n<p><strong>Over 20 Companies file Confidential DHRPs<\/strong><\/p>\n\n\n\n<p>The trend is visible\u2014and accelerating.While only four companies chose the confidential filing route between 2022 and 2024, more than 20 companies opted for confidential DRHP filingsbetween March 2025 and 2026, indicating that more and more firms are recalibrating their IPO strategies. High-profile companies such as PhysicsWallah, Meesho, Groww, Swiggy, and BoAt have led the wayencouraging others to follow.<\/p>\n\n\n\n<p><br>Recent entrants include Zetwerk, Garuda Aerospace, SNVA Traveltech, Rediff.com India, Torrent Gas, Synergy Advanced Materials, and Sohan Lal Commodity Management (SLCM)<br><br><\/p>\n\n\n\n<p><strong>Why Start-up\u2019s Are Choosing Confidential Filings<\/strong><\/p>\n\n\n\n<p>Confidential filing, introduced by SEBI in 2022, allows start-ups to initially keep their business metrics and sensitive information about clients and vendorsfrom the public and competitors. These Start-ups benefit in several ways:<br><br><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Private Interaction Without Early Disclosure<\/strong>&#8211; This route allows companies to engage with SEBI and the institutional investors privately, before going public. The startup submits information about its business, finances, and promoters to the regulators and select institutional investors only.<\/li>\n\n\n\n<li><strong>Incorporate Regulator Feedback<\/strong>-Companies can refine their IPO plans based on regulator feedback before going public.A company may even decide to drop its IPO plans following the regulatory feedback about its business and financial metrics. Oyo\u2019s parent company, Oravel Stays (now Prism), withdrew its earlier DRHP and later re-entered with a revised IPO plan targeting \u20b96,650 crore.<\/li>\n\n\n\n<li><strong>Gauge the Market Sentiment-<\/strong>Confidential filing allows start-ups to <strong>test investor appetite and market conditions<\/strong> before launching. This period can be used to monitor the market sentiment, realign strategies, and focus on investor marketing. PhonePe has deferred its IPO, choosing to wait for better market conditions amid global uncertainty.<br><br><\/li>\n\n\n\n<li><strong>Option to Defer or Drop IPO Plans<\/strong><strong>&#8211;<\/strong> Tata Play, which was the first company to file its DHRP confidentially in November 2022, received the SEBI approval for its proposed public issue in May 2023. However, the company dropped the plan after buying out its minority investors.<br><br><\/li>\n\n\n\n<li><strong>Flexibility in Timing<\/strong><strong>&#8211;<\/strong> While the regular filing route mandates listing within 12 months of receiving SEBI observations, the confidential filing allows an additional 6 months, meaning a total of 18 months.<\/li>\n\n\n\n<li><strong>Adaptable IPO Planning<\/strong>&#8211; Companies choosing this route can introduce up to 50% change in the issue size after SEBI\u2019s observations. This is much higher than the option of changing only 20% of the issue size in the traditional IPO filing route.
